Corporate structure
A Cayman holding company over a China VIE.
Leading conducts its insurance brokerage business in China through a variable interest entity (VIE) and its subsidiaries, under a series of contractual arrangements.
Investors purchase equity interests in Leading Partners Ltd, the Cayman Islands holding company listed on the Nasdaq as LDIN, not equity in the VIE or its subsidiaries, which they may never directly hold. This structure, and its risks, are described in the company’s SEC filings.
